Integrus AI is a trading name of Global Imports, a sole proprietorship registered in India (GSTIN 27DJGPM2836C1ZB), with its registered address at Shop 7, Pushpkunj Complex, Ramdaspeth, Nagpur, Maharashtra 440010, India (“Integrus AI”, “we”, “us” or “our”).

By engaging Integrus AI, signing a proposal or Statement of Work (“SOW”), or making a payment through our checkout, you (“Client”, “you”) agree to these Terms & Conditions. If you are entering into an engagement on behalf of a company, you confirm you are authorised to bind that company.

Integrus AI provides business introduction and connector services. For each engagement, we research, qualify and deliver a defined number of introductions to counterparties matching the brief agreed with the Client in the proposal or SOW.

The scope of an engagement — including the number of introductions, the qualification criteria used to define a valid introduction, and the delivery period — is set out in the proposal or SOW for that engagement and forms part of these Terms.

Fees are engagement-based and agreed in writing (proposal or SOW) before work begins. Engagements are typically structured as a fixed fee for a defined number of introductions within an agreed period, and may include a performance-based component where stated in the SOW.

Payment is due upfront or per the schedule stated in the proposal or SOW, via our payment processor or bank transfer. Work commences only once payment for the relevant billing period is received. You are responsible for any taxes applicable to your payments, other than taxes on our income.

If an introduction delivered under an engagement does not meet the qualification criteria agreed in the proposal or SOW, notify us within the period stated there (or within 15 days of delivery if none is stated). After review, we will replace a non-qualifying introduction with a new one at no additional cost. This replacement guarantee is Integrus AI’s sole remedy for a non-qualifying introduction; see also Refund & Cancellation Policy.

You are responsible for the accuracy of the brief and qualification criteria you provide, for evaluating and pursuing introductions we deliver, and for your own conduct and representations in any resulting conversation or relationship. Integrus AI facilitates introductions; it does not negotiate, contract, or transact on your behalf, and is not a party to any agreement you reach with an introduced counterparty.

Each party will keep the other’s non-public business information confidential and use it only to perform or receive the services under an engagement, except where disclosure is required by law.

Integrus AI retains ownership of its research methods, templates, tools and know-how. Client materials and briefs remain the Client’s property. Nothing in these Terms transfers ownership of either party’s pre-existing IP to the other.

Introductions are provided on an “as is” basis. Integrus AI does not guarantee that any introduction will result in a meeting, deal, hire, sale or any other business outcome. We disclaim implied warranties to the maximum extent permitted by law, except where a warranty cannot lawfully be excluded.

To the maximum extent permitted by law, Integrus AI will not be liable for indirect, incidental, special or consequential loss, or loss of profits, revenue or business opportunity, arising from an engagement. Our aggregate liability for any engagement will not exceed the fees paid by the Client for that engagement in the three months preceding the event giving rise to the claim.

These Terms are governed by the laws of India. The courts at Nagpur, Maharashtra will have exclusive jurisdiction over any dispute arising from or relating to these Terms or an engagement.

We may update these Terms from time to time. Changes take effect once posted on this page with a revised effective date. Continued use of our services after a change takes effect means you accept the revised Terms.
